Content Ownership and License

1. User-Generated Content: By submitting content (e.g., videos, documents, or other educational materials) to M-UpSkill, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute this content in connection with the platform’s operation.

Course Enrollment and Usage

Instructor Obligations and Guidelines

2. Revenue Sharing: Instructors may earn revenue through a profit-sharing model based on enrollments. M-UpSkill reserves the right to adjust revenue-sharing terms based on changes in business operations.

Payment and Refund Policy

1. Data Collection: We collect essential information such as your name, email address, and activity on our platform to enhance your experience and optimize our services. Data may be collected directly from you or through automated means as you interact with our platform.

Disclaimer of Warranties

1. M-UpSkill provides the platform “as-is” without warranties of any kind. We do not guarantee uninterrupted, error-free operation of the platform, nor do we guarantee accuracy or reliability of content. M-UpSkill disclaims any implied warranties to the fullest extent permissible by law.

Limitation of Liability

1. M-UpSkill and its affiliates shall not be liable for any indirect, incidental, or consequential damages, or any loss of revenue, data, or profits arising from your use of or inability to use the platform.
2. Our maximum liability under these Terms is limited to the amount paid by you (if any) for using the platform in the 12 months prior to the event leading to the liability.

Indemnification

1. You agree to indemnify and hold harmless M-UpSkill, its employees, directors, and affiliates from any claims, liabilities, damages, or expenses (including reasonable attorney fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.
